This Restaurant Partner Agreement ("Agreement") forms a legally binding contract between Niraj Global Corporation ("NGCEats", "Company", "we", "us") and the Restaurant Partner ("Merchant", "you", "your"). By onboarding onto the NGCEats platform and accepting orders, you agree to comply with the terms set forth below.
NGCEats provides a technology platform (the "Platform") that connects you with customers wishing to order food. Depending on your onboarding terms, delivery logistics may be handled by your own staff or by independent NGCEats Delivery Partners.
As a Restaurant Partner, you strictly agree to the following:
3.1. Platform Markup (Commission & Gateway Fees): The Merchant understands and agrees that NGCEats reserves the right to apply a markup (e.g., up to 24%) to the base menu prices provided by the Merchant on the app. This specific markup is solely utilized to cover NGCEats' platform commission and third-party payment gateway (Razorpay) charges. The Merchant will be settled based on their original base price minus any mutually agreed deductions.
3.2. Separate Customer Charges (Checkout): Additional charges such as a flat Platform/Support Fee (e.g., ₹5), Delivery Fees, voluntary Rider Tips, and NGO Donations are completely independent of the menu markup. These are levied separately directly onto the Buyer at the checkout page and the Merchant holds no claim over these funds.
3.3. GST Compliance: As per Section 9(5) of the Central Goods and Services Tax (CGST) Act, NGCEats will collect a flat 5% GST directly from the customer at checkout and remit it to the government on behalf of the Merchant for all restaurant services provided. This applies strictly regardless of whether the Merchant possesses their own GST registration number or not.
4.1. Fees & Commission: Any applicable onboarding fees and the specific percentage of commission charged by NGCEats will be explicitly communicated and agreed upon at the time of your onboarding.
4.2. Delivery Fee Allocation: The allocation of the delivery fee collected from the customer depends on the fulfillment method:
Customer refunds will be managed under the following liability rules:
5.1. Merchant Fault: If a refund is issued due to missing items, incorrect orders, bad quality, or burnt/undercooked food, the refund amount will be directly deducted from the Merchant's payout.
5.2. Transit Fault (Self-Delivery): If the Merchant uses their own delivery staff and the food is damaged, spilled, or delayed in transit, the Merchant bears 100% liability, and the refund will be deducted from the Merchant.
5.3. Transit Fault (NGCEats Delivery): If the delivery is handled by an NGCEats Delivery Partner and the food is dropped or ruined due to the rider's negligence, NGCEats will absorb the refund cost, and the Merchant will receive their full payout for the prepared food.
Either party may terminate this Agreement by providing a 7-day written notice. NGCEats reserves the right to immediately suspend your restaurant in cases of severe customer complaints or fraudulent activity.
